These Terms of Service ("Terms") govern access to and use of printing.clear-pg.com (the "Site") and the purchase of promotional products through the Site. The Site is operated by Tullock Marketing, LLC, an Arkansas limited liability company, doing business as CPG Marketing ("Company," "we," "us," or "our"). By accessing the Site or placing an order, you ("Customer" or "you") agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Description of Services
The Site allows Customer to browse, request quotes for, and purchase promotional and printed products, which may include custom items produced using artwork, logos, text, or other content supplied by Customer ("Customer Content"). Products may be manufactured, decorated, or printed by Company or by third party suppliers on Company's behalf.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Site. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Orders, Quotes, and Pricing
Product descriptions, artwork proofs, and pricing on the Site are subject to change without notice. A quote is not binding until Company issues a written order confirmation. Company reserves the right to refuse or cancel any order, including for pricing errors, suspected fraud, or product unavailability. Applicable taxes, setup fees, and shipping charges will be disclosed prior to order confirmation.
4. Payment
Payment is processed through QuickBooks Payments via its API. By submitting payment information, you authorize Company to charge the payment method provided for the order total, including applicable taxes and shipping. Company does not store full payment card numbers on its own servers; payment data is handled by QuickBooks in accordance with its own terms and security standards. You represent that you are authorized to use the payment method provided.
5. Customer Content and Artwork
If you submit logos, artwork, images, or text for use on a product, you represent and warrant that you own or have the necessary rights and licenses to that content, and that its use will not infringe or violate any third party's intellectual property, publicity, or other rights. You grant Company a limited license to reproduce Customer Content solely to fulfill your order. You agree to indemnify and hold Company harmless from any claim arising from Customer Content you provide.
Company may reject artwork that is unlawful, infringing, or otherwise objectionable, and may request a corrected file before production.
6. Production, Proofs, and Order Changes
Where a digital or physical proof is provided, Customer is responsible for reviewing it for accuracy prior to approval. Once a proof is approved and production begins, changes or cancellations may not be possible, or may be subject to additional charges. Minor variations in color, material, or placement between a proof and the finished product are normal and do not constitute a defect.
7. Shipping and Delivery
Estimated production and delivery timeframes are provided for convenience and are not guaranteed. Company is not responsible for delays caused by carriers, suppliers, or events outside its reasonable control. Risk of loss passes to Customer upon delivery to the carrier, unless otherwise stated at checkout.
8. Returns, Refunds, and Cancellations
Because many products are custom manufactured to Customer specifications, orders are generally non-refundable once production has begun, except where the product is defective or materially differs from the approved proof. Report any defect or discrepancy within [INSERT NUMBER] days of delivery. Approved refunds or reprints will be handled at Company's discretion.
9. Intellectual Property
The Site, including its design, text, graphics, and underlying software, is owned by Company or its licensors and is protected by intellectual property laws. Except for Customer Content, you may not copy, reproduce, or create derivative works from the Site without written permission.
10. Acceptable Use
You agree not to: use the Site for any unlawful purpose; submit false or misleading order information; attempt to interfere with the Site's operation or security; or use automated means to access the Site without permission.
11. Disclaimers
The Site and products are provided "as is" without warranties of any kind, express or implied, except as expressly stated in these Terms or required by applicable law. Company does not warrant that the Site will be uninterrupted or error free.
12. Limitation of Liability
To the fullest extent permitted by law, Company's total liability arising from these Terms or any order will not exceed the amount paid by Customer for the order giving rise to the claim. Company will not be liable for indirect, incidental, special, or consequential damages.
13. Indemnification
You agree to indemnify and hold harmless Company, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your order, or your breach of these Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law principles. Any dispute arising from these Terms or an order will be subject to the exclusive jurisdiction of the state or federal courts located in Arkansas, unless otherwise required by law.
15. Changes to These Terms
Company may update these Terms from time to time. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
16. Termination
Company may suspend or terminate your access to the Site at any time, with or without cause, including for violation of these Terms.
